1. Acceptance of Terms

By accessing or using StreamClipper.xyz (the "Service"), you agree to be bound by these Terms of Service ("ToS"). If you do not agree to all of these terms, do not use this Service. We reserve the right to update or modify these ToS at any time without prior notice.

2. Service Description

StreamClipper.xyz provides a platform for users to create clips from publicly available live streams and video-on-demand (VOD) content from various third-party platforms like YouTube and Twitch. The Service allows users to specify start times, durations, and apply optional overlays to these clips.

3. User Accounts

To access certain features of the Service, you may be required to log in using your Discord account. You are responsible for maintaining the confidentiality of your account and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct and Responsibilities

You agree not to use the Service to:

• Clip, process, or distribute any content that infringes on any third party's intellectual property rights, including copyright, trademark, or privacy rights.
• Clip content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Violate any applicable local, state, national, or international law.
• Attempt to gain unauthorized access to our systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Service.
• Use the Service for any commercial purpose not explicitly authorized by us.

You are solely responsible for the content you choose to clip and any consequences thereof. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any content clipped through the Service.

5. Token System

The Service utilizes a "Token" system for creating clips. Tokens may be provided for free or purchased. Tokens are a limited license right to use features of the Service. Tokens have no monetary value, are not redeemable for cash, and cannot be transferred or sold. All token purchases are final and non-refundable as per our Refund Policy.

6. Intellectual Property

Our Service: All rights, title, and interest in and to the Service (excluding content provided by users or third-party platforms) are and will remain the exclusive property of StreamClipper.xyz and its licensors. The Service is protected by copyright, trademark, and other laws.

User Content & Third-Party Content: StreamClipper.xyz does not claim ownership of the content you clip from third-party platforms. You are responsible for ensuring you have the necessary rights or permissions to clip and use such content. By using the Service, you grant StreamClipper.xyz a limited license to process, store, and deliver the clips you create as directed by you.

7. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these ToS. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

8. Disclaimers of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. StreamClipper.xyz does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; or c) the results of using the Service will meet your requirements.

9. Limitation of Liability

In no event shall StreamClipper.xyz, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

10. Governing Law

These ToS shall be governed and construed in accordance with the laws of The United States Of America without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these ToS at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you and StreamClipper.xyz ("Licensor", "we", "us", or "our") for the StreamClipper.xyz software service, which includes associated media, printed materials, and "online" or electronic documentation (collectively, the "Service").

By accessing, installing, or using the Service, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use the Service.

1. License Grant

Subject to your compliance with the terms of this EULA and our Terms of Service, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes.

2. Restrictions on Use

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Service or make the Service available to any third party.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Licensor or its affiliates, partners, suppliers, or the licensors of the Service.
• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
• Use the Service to clip, process, or share content for which you do not have the appropriate rights or permissions.

3. Ownership and Intellectual Property

The Service, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of Licensor and its licensors. Nothing in this EULA grants you any rights to the source code of the Service.

4. Tokens

The Service may include "Tokens" that can be acquired or purchased. These Tokens grant you a limited license to use certain features within the Service. Tokens are not currency, have no monetary value outside of the Service, and cannot be redeemed for cash or other goods or services. Your license to use Tokens is subject to this EULA and our Terms of Service.

5. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Licensor if you fail to comply with any term(s) of this EULA or the Terms of Service. Upon termination, you shall cease all use of the Service. Licensor may also, in its sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice.

6. Warranty Disclaimer

THE SERVICE IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, LICENSOR, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SERVICE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, LICENSOR PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LICENSOR OR ITS AFFILIATES, OR ANY OF ITS OR THEIR RESPECTIVE LICENSORS OR SERVICE PROVIDERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS EULA OR YOUR USE OF OR INABILITY TO USE THE SERVICE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Refund Policy

1. General Policy

Thank you for using StreamClipper.xyz. We appreciate your decision to purchase digital Tokens ("Tokens") for use within our Service.

All purchases of Tokens or any other digital goods or services offered on StreamClipper.xyz are final and non-refundable.

2. No Refunds

Once Tokens are purchased and credited to your account, they cannot be returned, exchanged, or refunded. This no-refund policy applies regardless of your use or non-use of the Tokens or the Service. No refunds will be issued for any reason, including but not limited to:

• Unused Tokens remaining in your account.
• Your dissatisfaction with the Service or any features thereof.
• Suspension or termination of your account due to a violation of our Terms of Service or EULA.
• Accidental purchases.
• Technical issues, unless a refund is explicitly required by applicable consumer law in your jurisdiction (which typically does not cover digital consumable goods once delivered or accessed).
• Changes to the Service, including the price of Tokens or the features available.
• Your inability to use the Service due to your own technical limitations or internet connectivity issues.

3. Acknowledgement

By purchasing Tokens on StreamClipper.xyz, you acknowledge that you have read, understood, and agree to this Refund Policy. You understand that you are waiving any right you may have to a refund for such purchases.

4. Exceptional Circumstances

In very rare and exceptional circumstances, StreamClipper.xyz may, at its sole discretion, consider a refund or account credit. Such considerations are not an admission of any obligation to provide refunds and will be evaluated on a case-by-case basis. Any decision made by StreamClipper.xyz in such exceptional circumstances is final.

5. Chargebacks

Initiating a chargeback for a valid purchase of Tokens will be considered a violation of our Terms of Service and may result in the immediate suspension or termination of your account and loss of any remaining Tokens, without any refund.

This Privacy Policy applies to all information collected through our website (StreamClipper.xyz) (the "Service"), and/or any related services, sales, marketing or events.

• Personal Information Provided by You: We collect your Discord user ID, username, and avatar when you log in with Discord. If you make purchases, we may collect data necessary to process your payment, such as your payment instrument number (such as a credit card number), and the security code associated with your payment instrument. All payment data is stored by our payment processor (Stripe) and you should review its privacy policies and contact the payment processor directly to respond to your questions.
• Information Automatically Collected: We automatically collect certain information when you visit, use or navigate the Service. This information does not reveal your specific identity (like your name or contact information) but may include device and usage information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, location, information about how and when you use our Service and other technical information. • To send administrative information to you. We may use your personal information to send you product, service and new feature information and/or information about changes to our terms, conditions, and policies.

Upon your request to terminate your account, we will deactivate or delete your account and information from our active databases. 9. Controls for Do-Not-Track Features

Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track ("DNT") feature or setting you can activate to signal your privacy preference not to have data about your online Browse activities monitored and collected. At this stage no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this privacy notice.

We may update this privacy notice from time to time. The updated version will be indicated by an updated "Last Updated" date and the updated version will be effective as soon as it is accessible.
